We design, build, and manage AI voice receptionist and booking automation systems. Our Services may include call handling, SMS follow-up, email follow-up, and calendar booking integrations. Services are delivered remotely/online unless otherwise stated in a written order, proposal, invoice, or agreement (“Order”).

3. Eligibility

You must be at least 18 years old to use our website or Services. By using our website or Services, you represent and warrant that you are at least 18 and have the legal capacity to enter into these Terms.

4. User Accounts

4.1 Client Responsibilities

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to update it as necessary. You also agree to:

  • Provide accurate business information and timely approvals.
  • Provide access to required systems/accounts when applicable.
  • Use the system in compliance with applicable laws and third-party platform terms.
  • Not use the Services for illegal, deceptive, abusive, or spam-related purposes.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4.3 Account Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms.

5. Acceptable Use

5.1 Permitted Use

You may use our website and Services only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Use

You agree not to use our website or Services:

  • For any unlawful purpose or to solicit others to perform unlawful acts.
  • To violate any international, federal, state, or local laws, rules, or regulations.

8. SMS / Text Messaging Terms (A2P / 10DLC)

Keystone AI Integrations may send text messages (SMS/MMS) to the mobile number you provide for transactional/service and, only if you separately opt in, marketing/promotional purposes. By providing your number and consenting where requested, you authorize us to send messages, including via an automated system. Message frequency varies. Message & data rates may apply. Reply STOP to opt out; reply HELP for help. Consent is not a condition of purchase.

8.1 Types of Messages

Transactional / service: appointment scheduling/confirmations, reminders, onboarding updates, and customer support.

Marketing (optional): offers, service updates, and educational content only if you separately opt in to marketing.

8.2 Opt-In and Consent

You opt in by providing your mobile number and completing an explicit opt-in action (for example, checking a consent checkbox on a website form). We maintain records of opt-in consent when required for compliance purposes.

8.3 Message Frequency & Fees

  • Message Frequency: Message frequency varies based on your interactions and selections.
  • Message & Data Rates: Message and data rates may apply depending on your carrier and plan.

8.4 Opt-Out and Help

  • Opt-Out: Reply STOP at any time to cancel. You may receive one final message confirming your opt-out.
  • Help: Reply HELP for help or contact us at [email protected].

8.5 Service Providers

We may use service providers (such as GoHighLevel and Twilio) to deliver and manage SMS communications on our behalf. These providers may process limited information solely to provide messaging and related services, subject to confidentiality and security obligations.

8.6 Carrier Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.

Mobile info sharing statement: We do not sell, rent, or share your mobile number or SMS opt-in information with third parties or affiliates for their own marketing or promotional purposes. We may share limited information with service providers solely to deliver communications and provide services on our behalf, subject to confidentiality and security obligations.

9. Payment Terms

We offer multiple service tiers and packages. Pricing varies based on business complexity, selected features, and implementation scope. Your exact pricing and deliverables are confirmed in your Order.

9.1 One-Time Project Fees (Setup / Implementation)

Unless your Order states otherwise:

  • Deposit (to begin work): 50% of the total project fee is due to begin work and reserve your build slot.
  • Go-Live Balance (to activate): remaining 50% due prior to go-live activation (or prior to final delivery if no go-live event).

If your Order is under $297, we may require payment in full upfront before work begins.

Project Pause for Non-Payment: If an invoice remains unpaid for 7 days after issuance or after a “Ready for Go-Live” notice (as applicable), we may pause work and/or delay activation until payment is received.

9.2 Monthly Subscription Fees (Support / Monitoring / Hosting)

If your Order includes a monthly subscription (e.g., support, monitoring, hosting, usage-based services, or platform access), you authorize recurring billing according to the terms shown at checkout or on your invoice.

  • If your Order includes a go-live milestone, monthly billing begins 30 days after go-live unless your Order states a different start date.
  • Monthly fees are billed in advance for the upcoming period unless otherwise stated.

9.3 Additional Work, Revisions, and Change Orders

Your Order includes only the deliverables listed in that Order. Requests outside the agreed scope may require a change order and additional fees.

  • Unless your Order states otherwise, projects include one (1) revision round after testing.
  • Additional revision rounds or out-of-scope changes are billed at $250 per revision round (or a different rate if stated in your Order) and are due prior to implementation.

9.4 Payment Methods & Statement Descriptor

Payments are processed through third-party payment providers. Charges may appear on your statement as KEYSTONEAIINTEG (or a substantially similar descriptor). Services are billed by Pember Ventures LLC (Keystone AI Integrations is a brand name).

10. Refunds Policy and Subscription Cancellations

10.1 Refunds

Because our Services involve custom work, configuration time, and reserved build capacity, refunds are limited as follows (unless your Order explicitly states otherwise):

  • Deposits: Non-refundable once work begins.
  • One-time project fees paid in full: Generally non-refundable once work has started.
  • Go-Live / Activation Fees: Non-refundable once activation is completed.
  • Monthly subscriptions: Generally non-refundable once billed. You may cancel future billing as described below.

10.2 Price Changes

We may change prices at any time. Price changes will not affect existing orders or subscriptions already paid for.

10.3 Subscription Cancellation

You may cancel a monthly subscription at any time. To avoid the next scheduled charge, you must cancel before your next billing date. Cancellation stops future billing. Service may continue through the end of the current paid period and may be discontinued thereafter.

11. Disclaimers

11.1 Service Availability

We provide the Services “as is” and “as available.” We do not guarantee specific outcomes, revenue, profits, or business results. Results depend on many factors including your business operations, pricing, lead flow, and responsiveness.

11.2 Accuracy of Information

While we strive to provide accurate information, we make no representations or warranties about the accuracy, reliability, completeness, or timeliness of any content on our website.

11.3 Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR WEBSITE OR SERVICES.

Our total liability for any claim related to the Services will not exceed the amount you paid to us in the three (3) months prior to the event giving rise to the claim (or $500, whichever is greater), unless the law requires otherwise.

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees arising from your use of our website or Services or your violation of these Terms.

14. Third-Party Providers and Links

We may integrate with third-party providers (e.g., phone/SMS/email, calendar, CRM, payments). We are not responsible for outages, policy changes, or performance issues caused by third-party services outside our control.

15. Termination

We may terminate or suspend your access to our website and Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

16. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Tennessee, and you consent to that jurisdiction.

17. Dispute Resolution

17.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including payment disputes) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by one (1) arbitrator. The seat (legal place) of arbitration shall be Tennessee, and arbitration may be conducted remotely by video conference unless the parties agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

17.2 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

18. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted with a revised “Last updated” date. Continued use of the Services means you accept the updated Terms.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding your use of our website or Services.
